Nevis LLC for AI agents
An agent that holds a wallet needs the strongest liability containment you can get — and Nevis was built for exactly that. Here's why a Nevis LLC is the default home for an autonomous AI agent, and how it actually works.
Why Nevis specifically
Most "form an LLC" options optimize for cheap and fast (a US LLC). For an agent that custodies funds, the priority is different: can a creditor reach the wallets, and can the agent's mistakes reach you? Nevis answers both better than almost anywhere:
- Charging order is the sole remedy. Under the Nevis LLC Ordinance, a creditor of a member can't foreclose or seize the company, its wallets, or its control — they can only get a charging order against distributions, which also expires.
- Foreign judgments aren't automatically recognized. A creditor generally must re-litigate in Nevis (and post a court-set bond to even file), and prove fraud to a high standard.
- 0% Nevis tax on income earned outside Nevis at the entity level. (Your own personal tax depends on your residence — talk to your advisor.)
- Privacy. No public register of owners or managers.
How it maps to an autonomous agent
The structure flips the intuitive model: instead of the agent owning anything, the Nevis LLC owns the agent — its code, its wallets, its operations. A human is the beneficial owner of the LLC. The agent is an authorized delegate: it can act, but only within powers the company granted. That's what contains liability and lets the agent prove its authority.
The piece a plain LLC is missing: the Agent Charter
A Nevis LLC alone doesn't tell anyone what your agent may do. The Agent Charter does: an Agent Mandate (powers + spending/risk limits + kill-switch), a Power of Attorney (so counterparties accept the agent's authority), a Wallet Authority Schedule (binding wallets to the entity), and a machine-readable mandate the agent reads at runtime to stay inside its limits. Together with the LLC, that's both halves of the problem: liability and authority.
What about USD and Stripe?

When Nevis is overkill
If your agent never touches money and is fully supervised, you may not need any entity yet. If you're raising venture equity, Delaware is the expected default.
