You can negotiate offshore services around Black Friday, but only the private part of the cost: registered agent fees, accounting and formation packages. State fees and legal obligations get no discount. There is no official promotions calendar for this market, so ask for written proposals and compare the scope, not just the price.

Is there a Black Friday for offshore services?
Not in any standardized way. No public body or industry association publishes a table of seasonal discounts for registered agents, accountants or formation packages. Each provider decides whether to make an offer and on what terms. For that reason, any discount percentage circulating without a formal proposal should be treated as advertising, not as a market reference.
This changes how you negotiate. Instead of waiting for a promotion, use the end of the year as a deadline to request proposals and compare them. If there is an offer, it must come in writing, with the scope, the expiration date and the price of the next renewal.
What can be negotiated and what cannot?
The practical rule is to ask who sets the price. If it is a government or a law, there is nothing to negotiate. If it is a private company, there is room to compare and ask for terms.
| Item | Who sets the price or the rule | Can it be negotiated? |
|---|---|---|
| LLC state fees (Delaware, Wyoming) | The state itself | No |
| Registered agent | The private provider | Yes |
| LLC accounting and reports | The private provider | Yes, especially in a package |
| Bank account fees | The bank | Depends on the bank's policy |
| Form 5472 (IRS), CBE (Central Bank) | The law and the regulator | No |
Wyoming keeps on the Secretary of State's website an annual report area, a fee table and a list of commercial registered agents. Delaware, for its part, publishes the forms and corporate fees and has a dedicated page for paying the annual LLC tax. The amounts change, so always check the Wyoming Secretary of State and the Delaware Division of Corporations before approving a quote. If a proposal charges the state fee at a value different from the official table, ask for an explanation.
To understand the difference between the two states before comparing proposals, see the guide LLC in Wyoming or Delaware: which to choose.
How do I negotiate the registered agent renewal and the maintenance package?
Ask at least two providers for the same proposal, with the same scope, and compare line by line. A first-year discount only matters if the renewal price is known. What usually separates a good proposal from a bad one is what is included, not the final number.

Follow this order:
- •List what you already pay today: registered agent, address, mail forwarding, annual report and accounting.
- •Ask your current provider for the renewal price in writing and ask whether there is a condition for clients who renew more than one structure.
- •Ask a second provider for an equivalent proposal, with the same scope.
- •Ask what is charged separately: agent changes, certificates, document copies and rush requests.
- •Negotiate the package as a whole and ask for the consolidated price, not item by item.
- •Confirm how, and with how much notice, you can cancel.
If you have more than one structure, it is worth concentrating the renewal with a single provider and asking for a condition for the whole set. If you have only one LLC, the negotiation tends to come down to scope and cancellation notice.
Is it worth paying several years in advance?
Only when the contract protects you. Paying two or three years at once reduces the chance of a price increase, but it ties up money with a provider that may change its policy, be sold or stop serving your structure. Before closing, require three things in writing: what happens if you cancel mid-period, whether there is a prorated refund and whether the price is fixed for the whole term.
If the provider will not put those conditions in writing, prefer the annual contract. The savings from a long-term discount vanish if you need to migrate and lose the amount already paid.
Which compliance costs are not part of any promotion?
Three obligations do not depend on the price you negotiated, and a cheap proposal that ignores any of them ends up expensive.
Form 5472, in the United States. The IRS instructions say that a reporting corporation must file Form 5472 when it has a reportable transaction with a related party, and they treat specifically the so-called "foreign-owned U.S. DEs," disregarded U.S. entities with foreign ownership. The penalty for not filing the form on time and in the required manner is US$25,000. Check the text in the "Penalties" section of the Form 5472 instructions. No provider can discount this penalty, so confirm that the accounting package expressly covers the form.
CBE, in Brazil. BCB Resolution No. 279/2022 requires the annual declaration when Brazilian capital abroad totals US$1,000,000.00 or more on the base date of December 31 (art. 10). The quarterly declaration applies only from US$100,000,000.00 (art. 11). The text is in BCB Resolution 279, and the CBE page gathers the Central Bank's guidance.
Brazilian income tax. Law No. 14,754/2023 (Lei 14.754/2023) requires residents to report, on the Annual Adjustment Return, income from financial investments and profits and dividends of controlled foreign entities. Art. 2, § 1, sets 15% on the annual portion of the income. Art. 5 covers the profits of controlled entities, taxed on December 31 in the cases provided in the article itself. Savings on the agent's fee change none of this, and the full text is on the Planalto website.
Is it worth postponing the formation or renewal to wait for a promotion?
Almost never. Renewal and filing deadlines are set by the state, by law and by the contract, not by the commercial calendar. Waiting for an offer that may not come risks delaying an annual report or a renewal, and the price difference rarely makes up for the risk of being without a registered agent or having the structure in an irregular situation.
The math is different if the renewal or the formation is still far off. In that case, use the period to request proposals and decide without rushing. For those who have yet to form the structure, the guides on Delaware LLC for Brazilians and Wyoming LLC for nonresidents show what each state requires.
How do I negotiate offshore bank account fees?
Bank fees usually follow each bank's policy and depend on the client's profile, the type of account and the volume handled. For that reason, what you bring to the conversation is the relationship: complete documentation, a clear source of funds and expected activity. That helps more than citing Black Friday.
Ask for the bank's fee table in writing and ask which items are fixed and which vary. Also compare the cost of keeping the account active, not just opening it. The guide to an offshore bank account for Brazilians details the options, and the offshore banking page presents the service.
Which signs indicate a risky proposal?
Be wary when any of these signs appear:
- •A big discount without a list of what is included.
- •A short deadline to decide, such as "today only."
- •A promise of guaranteed savings or a "100% safe" structure.
- •A price far below the others, without explaining what was cut.
- •Lack of clarity about who the registered agent is and who answers for the structure.
A serious proposal says what it covers, what it does not cover and how much it costs on renewal. If any of those three pieces of information is missing, ask for it in writing before paying.

Is there a Black Friday discount on offshore services?
Some providers may make offers, but there is no official calendar or discount table for this market. Treat any percentage advertised as a commercial proposal: it only counts if it comes in writing, with scope, expiration and renewal price.
Can I negotiate the Delaware or Wyoming state fees?
No. The state itself sets state fees, and the amounts are in the official tables of the Wyoming Secretary of State and the Delaware Division of Corporations. What is negotiated is the registered agent's fee and the provider's services.
What is the risk of hiring the cheapest service?
The risk is a reduced scope. If the proposal does not include accounting, Form 5472 or support with the CBE, you will have to hire them separately or bear the penalties. The penalty for failing to file Form 5472 on time is US$25,000, according to the IRS instructions.
When do I need to file the CBE?
The annual declaration is required when Brazilian capital abroad totals US$1,000,000.00 or more on December 31, under art. 10 of BCB Resolution No. 279/2022. The quarterly one applies only from US$100,000,000.00, under art. 11.
Does saving on the agent's fee reduce tax in Brazil?
No. Tax in Brazil depends on the structure's income and profits, not on the maintenance cost charged by the provider. Law 14,754/2023 provides for 15% on income from financial investments abroad on the annual adjustment (art. 2, § 1).
Is it worth paying three years of maintenance to get a discount?
Only if the contract says, in writing, that the price is fixed for the whole period and that there is a prorated refund on cancellation. Without those conditions, the annual contract is safer.
