For a Brazilian SaaS founder, choosing between an LLC and a C-Corp comes down to two questions: will investors require a C-Corp, and how will Brazil tax the profit? An LLC with default tax treatment does not pay the 21% federal corporate tax, but its profit can be taxed in Brazil on December 31, even without a remittance.

LLC or C-Corp: which structure suits a SaaS?

It depends on fundraising and on how the company will be taxed. The IRS classifies an LLC with two or more members as a partnership and a single-member LLC as a disregarded entity, which stays on the owner's return. The classification changes to a corporation only if the LLC files Form 8832 and makes that election.

A C-Corp follows a different logic. The Form 1120 instructions say to multiply taxable income by 21% to compute the corporation's income tax. When it distributes U.S.-source dividends to a foreign person, the IRS directs withholding of 30%, or the treaty rate, if there is one. The A-Z list of U.S. income tax treaties published by the IRS does not include Brazil.

How does Brazil tax the profit of a resident's LLC?

The main rule is Law 14,754/2023: 15% individual income tax on the annual adjustment for profits and dividends of controlled entities abroad (art. 2, § 1). What changes is the timing. Controlled entities in a privileged tax regime, in a favored-taxation country or with own active income below 60% of total income have their profit taxed on December 31 of each year (art. 5, § 5). The others are taxed when the profit is made available to you (art. 6, II).

IN RFB 1,037/2010 (art. 2, VII) treats as a privileged regime a state LLC whose ownership consists of non-residents and that is not subject to U.S. federal income tax. A SaaS LLC with default tax treatment, controlled by Brazilians, tends to fit that description. If it elects to be taxed as a corporation, the calculation changes, and the analysis turns to the 60% rule.

This is where a SaaS needs attention. The law defines own active income as revenue from the company's economic activity, excluding revenue exclusively from royalties, interest, dividends, equity interests, rents, capital gains and financial investments (art. 5, § 6, I). Software usage subscriptions and intellectual property licensing can be treated differently, and that classification requires an analysis of the contract and the business model. Those who do not fall under § 5 can opt for annual taxation of profits starting in 2024 (art. 6-A). Tax paid in the US can be deducted from individual income tax when there is a treaty or reciprocity, limited to the difference between the tax computed with and without the income (art. 4). When does a Delaware C-Corp make more sense?

When an investor requires it. If venture capital fundraising is on the horizon, it is the investor, with their lawyer, who defines the structure of the round, so confirm this before opening the company. Without that requirement, the LLC has the advantage of contractual flexibility: Delaware's LLC law declares the policy of giving maximum effect to freedom of contract and to the enforceability of LLC agreements (6 Del. C. § 18-1101(b)).

This means the operating agreement can define classes of interests, distribution rules and member roles. Form 8832 lets you change the LLC's classification later, but the change has tax effects in both countries and must be planned, not improvised on the eve of a round. Does a SaaS LLC need to collect sales tax and VAT?

It may, depending on where the customers are. In South Dakota v. Wayfair (2018), the U.S. Supreme Court decided that the physical presence rule is incorrect and overruled it, which allows a state to require collection from sellers with no physical presence in its territory. The South Dakota law reviewed in the case applied to sellers with more than US$ 100,000 in sales in the state or 200 transactions. Each state's criteria must be checked individually.

In the European Union, the European Commission states that the VAT One Stop Shop (OSS) covers the provision of services by EU and non-EU sellers to EU consumers. Whoever sells subscriptions to European consumers should evaluate registration, and whoever sells only to businesses should check the applicable rule. Ignoring these points shows up later in the due diligence of a sale or fundraising.

What obligations does a SaaS LLC have in the US and in Brazil?

In the US, an LLC with a single foreign member is treated as a separate entity for purposes of § 6038A. It must file Form 5472, attached to a pro forma Form 1120, when it has reportable transactions with related parties. The penalty for failing to file is US$ 25,000. As for BOI, FinCEN states, in an update dated August 11, 2026, that U.S. companies are exempt from that report.

In Brazil, profits and dividends go on the annual adjustment return, in a separate field (Law 14,754/2023, art. 2). The Central Bank of Brazil requires the annual CBE (Brazilian Capital Abroad report) from anyone whose assets abroad total US$ 1 million or more on December 31, to be filed from February 15 to April 5 of the following year.
